Terms of Supply.

1. Orders & Specifications

Official orders are confirmed only upon the issuance of a Proforma Invoice (PI) by the Seller and the subsequent payment of the required deposit by the Buyer.

• Batch Consistency: Seller guarantees technical specifications (Fixed Carbon, Ash Content, etc.) as per the laboratory report of each specific batch.
• Private Labeling: OEM packaging designs must be finalized and approved 15 business days prior to the production start date.

2. Pricing & Payments

All prices are quoted in USD unless otherwise specified. Prices are typically based on FOB (China Port) or CIF (Destination Port) terms.

• Standard Terms: 30% T/T deposit to initiate production; 70% balance payable upon presentation of the Bill of Lading (B/L) copy.
• Validity: Quotations remain valid for 7 calendar days due to market fluctuations in raw material and energy costs.

3. Delivery & Risk Transfer

Shipping dates are estimated in good faith but are subject to seasonal production loads and vessel availability.

• Incoterms: Interpretation of delivery obligations follows Incoterms® 2020.
• Dangerous Goods (DG): Seller is responsible for providing valid MSDS and DGM certification for Class 4.2 maritime transport.
• Shortage Claims: Any discrepancy in quantity must be reported within 10 days of arrival at the destination port with official surveyor documentation.

4. Quality Control & Claims

Claims regarding calorific value or technical indices must be supported by laboratory tests conducted within 15 days of container discharge. Failure to report within this window constitutes acceptance of the goods.

5. Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond their reasonable control, including but not limited to raw material export bans, natural disasters, or major port closures.

6. Governing Law

These terms shall be governed by the laws of the People’s Republic of China. Any disputes that cannot be resolved through amicable negotiation shall be submitted to the competent courts in Zhaoqing, Guangdong.
